End User License Agreement

1. Acceptance of these terms

This End User License Agreement (the “Agreement”) is a binding contract between you and ViableTeck( “ViableTeck”, “we”, “us”), the provider of the RestoraLinkplatform (the “Service”). It governs your access to and use of the Service.

By creating an account, checking the acceptance box during registration, or otherwise using the Service, you agree to this Agreement and to our Privacy Policy. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.

2. License grant

Subject to your compliance with this Agreement, ViableTeck grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for its intended purpose: coordinating property restoration work between a restoration franchise, its staff and subcontractors, and its customers.

This is a license to use hosted software. No copy of the software is sold or transferred to you, and no rights are granted except those stated here.

3. Accounts and access

  • Accounts are personal. You are responsible for everything done under your account.
  • You must provide accurate registration details and keep them current.
  • You must keep your password confidential and tell us promptly if you believe your account has been compromised.
  • Sharing credentials, or allowing someone else to use your account, is not permitted.
  • What you can see and do in the Service depends on the role assigned to you by your franchise administrator. You must not attempt to access data outside that role.

4. Acceptable use

You agree not to:

  • Use the Service unlawfully, or to store or transmit unlawful, infringing, or harmful content.
  • Attempt to gain unauthorized access to the Service, other accounts, or the systems or networks behind it.
  • Probe, scan, or test the vulnerability of the Service, or circumvent any access control or rate limit, except under a written authorization from us.
  • Reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent that restriction is unenforceable under applicable law.
  • Resell, sublicense, or make the Service available to any third party outside your organization.
  • Upload malware, or content you do not have the right to upload — including photographs of a property you are not authorized to document.
  • Use automated means to extract data from the Service at a scale or rate that degrades it for others.

5. Your data

You retain all rights in the content you submit — project details, photographs, documents, messages, and similar material (“Customer Data”). You grant ViableTeck the rights necessary to host, process, transmit, and display Customer Data for the purpose of operating the Service and providing it to you and to your franchise.

How Customer Data is handled, who it is shared with, and how long it is kept are described in the Privacy Policy.

6. Relationship with your franchise

RestoraLink is used by independently owned and operated restoration franchises. The franchise whose site you use controls your account, decides your role, and is responsible for the restoration services themselves — the work performed, its quality, its pricing, and any contract you have with them.

ViableTeck provides the software only. We are not a party to your agreement with a franchise and are not responsible for the restoration work, for amounts invoiced, or for any dispute between you and a franchise. Your franchise may also publish its own terms and privacy policy covering its services; those are separate from this Agreement.

7. Third-party integrations

A franchise may connect the Service to third-party systems — accounting, scheduling, calendar, messaging. Where such a connection is enabled, data flows between the Service and that system as described in the Privacy Policy.

Those systems are governed by their own terms and privacy policies. ViableTeck is not responsible for their availability, accuracy, or acts. Figures pulled from an external accounting system are shown for convenience and are not a bill, an invoice, or a statement of account.

8. Electronic signatures

The Service supports signing documents electronically. By signing a document in the Service, you agree that your electronic signature is the legal equivalent of your handwritten signature and that you intend to be bound by the signed document.

To evidence a signature, the Service records the time of signing, the identity of the signer, the IP address, and the browser used. You may request a paper copy of any document you sign from the franchise that sent it to you.

9. Availability and support

We aim to keep the Service available, but we do not guarantee uninterrupted or error-free operation. The Service may be unavailable during maintenance, or because of failures in systems we depend on. Unless a separate written agreement says otherwise, the Service is provided without any committed service level.

Day-to-day support is provided by your franchise administrator. Contact them first for anything about your account, your project, or your data.

10. Intellectual property

The Service — including its software, design, and trademarks — is owned by ViableTeck and its licensors and is protected by intellectual property law. Nothing in this Agreement transfers ownership to you. Trademarks and branding belonging to a franchise or its parent brand remain the property of their respective owners.

If you send us feedback or suggestions, we may use them without restriction and without obligation to you.

11. Suspension and termination

Your franchise administrator may deactivate your account at any time. We may suspend or terminate access if you breach this Agreement, if your use puts the Service or other users at risk, or if we are required to by law.

You may stop using the Service at any time and ask your franchise administrator to close your account. Sections covering Customer Data, intellectual property, disclaimers, limitation of liability, and governing law survive termination.

12. Disclaimer of warranties

Except where prohibited by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will meet your requirements, that it will be secure or uninterrupted, or that data displayed from a third-party system is accurate or current.

13. Limitation of liability

To the maximum extent permitted by law, ViableTeck will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost or corrupted data, arising out of or relating to the Service, even if advised of the possibility.

Our total aggregate liability arising out of or relating to the Service will not exceed the greater of the fees you paid us for the Service in the twelve months before the claim, or US$100.

Some jurisdictions do not allow certain exclusions or limitations, so parts of this section may not apply to you. Nothing here limits liability that cannot lawfully be limited.

14. Changes to this agreement

We may update this Agreement. When we do, we will revise the version and effective date above, and — for material changes — give notice through the Service or by email before the change takes effect. Continuing to use the Service after a change takes effect means you accept the updated Agreement.

15. Governing law

This Agreement is governed by the laws of the State of Oregon, without regard to its conflict of laws rules. The courts of the State of Oregon have exclusive jurisdiction over any dispute arising out of or relating to this Agreement, except that either party may seek injunctive relief in any court of competent jurisdiction.
